How to Terminate Membership
Any Member wishing to resign its Membership of the Association shall give one months’ previous notice in writing to the Association.
The Executive Council may at its discretion waive the period of notice.
A Member shall ipso facto cease to be a Member :
- If it resigns from the Membership of the Association and such resignation is accepted by the Executive Council ;
- If it ceases to exist as a result of liquidation except for the purpose of amalgamation or re-organisation ;
- If it ceases to be eligible to be a Member ;
- If a General Meeting of the Association specially convened for the purpose after giving at least one month’s notice of such meeting passes a Resolution with two thirds majority of those Ordinary Members present to the effect that the Member has refused, neglected or failed to comply with or violated any of the provisions of this Constitution, or recommendations and decisions of the Association or that the conduct or behaviour of the Member has endangered or is likely to endanger the harmony or has affected or is likely to affect the character, stability or interest of the Association or has been or is otherwise undesirable.
PROVIDED, HOWEVER, that the two-thirds majority referred to in the above sub-clause shall not in any case be less than 51 per cent of the total number of Ordinary Members of the Association.
PROVIDED, FURTHER, that no such Resolution shall be passed by any General Meeting unless a notice of at least 30 days and a reasonable opportunity of being heard has been given to the Member concerned by the Executive Council.
A Member which ceases to be a Member shall have no rights to and claims upon the Association or on its property and funds and no portion of any subscription or any other amount already paid by it shall be refundable. Such Member shall nevertheless remain liable for and shall pay to the Association all amounts which at the time of its ceasing to be a Member were due and payable by it to the Association.
